Kotis Referral Program Terms and Conditions

1. Program Overview

The Kotis Design Enterprise Referral Program allows an existing Kotis Design enterprise client contact ("Participant") to refer a separate, independently billed department within the same company or corporate group to Kotis Design. When a qualifying referral results in a qualifying order, the Participant’s department becomes eligible to receive swag credit as described in these Terms, and the Participant individually becomes eligible for the recognition benefits described in Sections 12 and 13.

The Program operates through a single referral method: submission of the Kotis Design referral form followed by a warm email introduction. There is no discount code track under this Program.

2. The Participant and the Benefiting Department

The Participant is the individual who submits the referral and makes the email introduction. The Benefiting Department is the Participant’s own department, meaning the department whose swag spend is billed under the Participant’s account with Kotis Design.

Swag credit earned under this Program is applied to the Benefiting Department’s account. Recognition benefits described in Sections 12 and 13 are extended to the Participant individually. A Participant does not personally receive swag credit or any cash payment under this Program.

3. General Eligibility

To participate in the Program, you must meet all of the following requirements:

You must be at least 18 years of age.
You must be a resident of the United States.
You must be an authorized contact on an active Kotis Design account at the time of referral.
You must not refer your own department. A Participant may only refer a department that is separate from, and independently billed from, the Benefiting Department. Same parent company and same program contract are permitted; shared swag billing is not. See Section 4.
The referred department must not have been in contact with Kotis Design within the 12 months preceding the referral submission date.
The referred department must be a new Kotis Design customer with no contact in the prior 12 months.
The referral must be submitted through the method described in Part II of these Terms.

Kotis Design employees, contractors, and agency partners are not excluded from participation, subject to any applicable internal policies.

4. Department Separation Requirement

This Program rewards referrals made to a department that is genuinely separate from the Participant’s own. Because the Kotis Design Referral Program generally does not permit a Participant to refer a company at which they are employed, this Section governs and expressly permits such referrals only where the referred department satisfies the separation requirement below.

A referred department qualifies as separate only if all of the following are true:

Its swag spend is or will be invoiced separately from the Benefiting Department’s swag spend.
It can be established under a distinct company or department identifier in Kotis Design’s systems, allowing clear separation for billing and spend tracking.
It does not share a swag budget with the Benefiting Department.

Referrals to a department that shares swag billing or a swag budget with the Benefiting Department are not eligible under this Program. Kotis Design determines whether the separation requirement is met, in its sole discretion, and may decline any referral that does not meet it.

5. Qualifying Orders and Swag Credit

5.1 Qualifying Order

A qualifying order must meet all of the following criteria:

The order must be placed by the referred department within 60 days of their introduction to Kotis Design.
The initial order total must meet or exceed $500 (pre-tax, pre-royalty, and pre-shipping).
The referred department must be a new Kotis Design customer with no contact in the prior 12 months.
The referral must have been submitted through the method described in Part II.

5.2 Earning Period

The earning period runs for twelve (12) months from the date the referred department places its first qualifying order. Swag credit accrues only on qualifying spend by the referred department during this earning period.

5.3 Credit Threshold

Swag credit does not become payable until the referred department’s cumulative qualifying spend reaches $10,000 (pre-tax, pre-royalty, and pre-shipping) during the earning period. Credit accrues but is not applied until this threshold is met.

5.4 Credit Amount

Once the referred department’s cumulative qualifying spend reaches $10,000, the Benefiting Department becomes eligible to receive:

A one-time credit of $500 in swag credit, triggered by the referred department reaching the $10,000 threshold; plus
Ongoing swag credit equal to 5% of the referred department’s qualifying spend above the first $10,000, for the remainder of the twelve-month earning period.

5.5 How Credit Is Applied

Swag credit is applied as a discount on the Benefiting Department’s quarterly invoice. Kotis Design tracks the referred department’s qualifying spend and calculates and applies the credit each quarter. Swag credit is not paid in cash and has no cash value. No W9 or other tax documentation is required to receive swag credit.

5.6 Refunds and Clawback

If any portion of the referred department’s qualifying spend is refunded, that amount is automatically removed from the tracked qualifying spend used to calculate swag credit. Because credit is netted against tracked spend each quarter, refunded amounts reduce accrued or future credit automatically. Kotis Design may adjust a future quarterly credit to account for a refund processed after a credit has already been applied.

6. No Employment or Agency Relationship

Participation in the Program does not create an employment, partnership, joint venture, franchise, or agency relationship between the Participant and Kotis Design. Participants are not authorized to negotiate any terms of transaction between Kotis Design and its customers or prospective customers, and will not be asked or expected to do so.

7. How to Submit a Referral

To submit a referral under the Enterprise Referral Program, the Participant must complete both of the following steps:

Step 1: Form Submission: Submit the referral via the Kotis Design referral form on the Enterprise Referral page.
Step 2: Warm Email Introduction: After submitting the form, introduce the referred department to your Kotis Design Account Executive and CC reps@kotisdesign.com via email. This step is required for tracking purposes. Referrals without a corresponding warm email introduction are not eligible for swag credit.

Both steps must be completed for a referral to be considered valid. There is no discount code method under this Program.

8. Verification

After a referral is submitted, Kotis Design will verify that the referred department satisfies the department separation requirement in Section 4 and, where it does, will establish a distinct company or department identifier for the referred department in its systems. A referral is not eligible for swag credit until this verification is complete and the referred department places a qualifying order.

9. Commission Eligibility - Effective Date

Swag credit under this Program is only eligible for referred departments that place a qualifying order on or after August 1, 2026. Referrals introduced prior to that date are not eligible under these Terms.

10. No Cash Value

Recognition benefits described in this Part have no cash value, are non-transferable, and may not be exchanged for swag credit or any other consideration.

11. First-Time Referral Gift

A Participant who submits their first valid referral under this Program, where that referral results in a qualifying order, is eligible to receive a one-time thank-you gift from Kotis Design. The nature and value of the gift are determined by Kotis Design in its sole discretion and may change at any time.

12. Recognition for Repeat Participants

Participants who make multiple qualifying referrals may, from time to time, be recognized by Kotis Design through additional benefits or invitations. Any such benefits are offered at Kotis Design’s sole discretion, are not guaranteed, and do not constitute a term of this Program. Nothing in this Section obligates Kotis Design to provide any specific benefit, event, or invitation.

Referrals must place an order within 60 days of introduction to be eligible for the 5% commission.
Swag order rewards are paid at a rate of 5% of the total sales amount—defined as the pre-tax, pre-royalty, and pre-shipping amount paid to Kotis—on all qualifying orders placed by the referred individual for one calendar year from the date of referral.
Commissions are only eligible for new referrals that have purchased swag after March 1, 2025.
The $2,000 payment for a swag platform sign-up will only be recognized after the customer signs the agreement and pays the setup fee.
Referrals introduced from the same company employing the referrer (W9) will not be eligible for the 5% commission, only the $2,000 in free swag for the company if the referral signs a Kotis swag platform agreement. Freelancers and independent contractors are still eligible for these incentives.
Referral must not have been in contact with Kotis Design within the last 12 months to be eligible for any commissions or bonuses.
People submitting referrals cannot be a current employee of Kotis Design.
People are ineligible for any form of commission or credit towards swag if they refer themselves.
Reward payment will be sent by ACH on the 15th of the month after an order goes into production. You must provide us with a W9.
Customer must sign an ongoing Warehousing & Fulfillment Agreement to count towards the Swag Platform reward; individual swag orders without an ongoing agreement do not count for this reward; the agreement must be signed within 12 months of the referral.
There is no cap on introductions or commissions; however, after 25 introductions in a year, we may require an independent contractor agreement.
You are not an employee of Kotis and will not receive any benefits other than the referral awards mentioned on this page. You will not be asked, expected, or authorized to negotiate any terms of transaction between Kotis and its customers or potential customers.

13. Program Summary

For convenience, the core terms of the Program are summarized below. This summary does not replace the full Terms above; in the event of any conflict, the full Terms govern.

Referrals must be submitted via the form, followed by a warm email introduction to your Account Executive, so we can track them.
You may only refer a department that is separate from, and separately billed from, your own. You cannot refer your own department.
The referred department must place its first order within 60 days of introduction, and that order must be at least $500 (pre-tax, pre-royalty, and pre-shipping).
The referred department must be new to Kotis Design, with no contact in the prior 12 months.
Swag credit begins once the referred department reaches $10,000 in qualifying spend: $500 in credit at the threshold, plus 5% of qualifying spend beyond $10,000.
Swag credit runs for 12 months from the referred department’s first qualifying order and is applied as a discount on your department’s quarterly invoice. It is not paid in cash.
The individual who makes the referral receives a first-time thank-you gift and may be recognized for repeat referrals. Swag credit goes to the referring department.

14. Program Modifications

Kotis Design reserves the right to modify these Terms at any time. Updated Terms will be posted at https://try.kotisdesign.com/kotis-enterprise-referral-program-terms-and-conditions. Continued participation in the Program after updated Terms are posted constitutes acceptance of the revised Terms. It is each Participant’s responsibility to review these Terms periodically.

15. Program Termination

Kotis Design reserves the right to suspend or terminate the Program, in whole or in part, at any time with or without notice. In the event of termination, Kotis Design will honor swag credit accrued on qualifying spend recorded prior to the termination date, applied on the next scheduled quarterly invoice. Any credit beyond that will be considered on a case-by-case basis at Kotis Design’s sole discretion. Kotis Design is not liable to any Participant or department for losses, anticipated earnings, or damages arising from Program termination.

16. Forfeiture on Account Closure

If the Benefiting Department’s account with Kotis Design is closed, or the Benefiting Department otherwise ceases to be an active Kotis Design customer during the earning period, any accrued but unapplied swag credit may be forfeited. Kotis Design will consider such situations on a case-by-case basis at its sole discretion.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Kotis Design shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to participation in the Program, including but not limited to lost profits or anticipated swag credit. Kotis Design’s total liability to any Participant or department under these Terms shall not exceed the total swag credit applied to that department in the 12 months preceding the claim.

18. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Program shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration shall take place in King County, Washington. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

By participating in the Program, each Participant waives any right to bring claims as a plaintiff or class member in any class action, class arbitration, or representative proceeding. Each party shall bear its own costs and attorneys’ fees unless the arbitrator determines that a claim was frivolous or brought in bad faith.

19. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.
